In the event the customer is a natural person, he/she is deemed to act for the purposes which are within his/her trade, business, craft or profession, thus is not deemed to be a “consumer” as defined in the applicable laws and regulations. 

Change of Information- JE endeavors to keep all information on the Website accurate, complete, and updated to the extent practically possible; nevertheless, JE does not guarantee the accuracy, completeness and reliability of such information. JE reserves the right to update any and all information, including these terms, on the Website at any time without prior notice. Please check these terms periodically for changes. The 1980 United Nations Convention on Contracts for the International Sale of Goods, the United Nations Convention on the Limitation Period in the International Sale of Goods, and the Uniform Computer Information Transactions Act, and any implementations thereof in various jurisdictions and any subsequent revisions thereto, shall not apply to these Terms of Use. Any controversy or claim arising out of or relating to these Terms of Use or your use of the Website shall be settled in the Hong Kong Courts.

JE Online Shop Terms of Sale 

Article 1 General, Acceptance of Terms of Sale 

These Terms of Sale (“Terms”) shall govern all purchase contracts made through JE Online Shop. The version of the Terms that is valid on the date of conclusion of the contract shall apply. In the event of gaps, invalid or missing provision(s) in the Terms, Johnson Electric Group Standard Terms of Sale located at (https://www.johnsonelectric.com/en/tc) shall replace or supplement these Terms. Any purported change of the Terms submitted by a customer in any additional documentation is hereby expressly rejected.  

By using the JE Online Shop, you shall be deemed to have accepted the contents of these Terms. JE reserves the right to update these terms at any time without prior notice. 

Article 2 Customer 

All purchases made through JE Online Shop are considered to be B to B transactions and not for purposes of personal consumption. In the event the customer is a natural person, he/she is deemed to act for the purposes which are within his/her trade, business, craft or profession, thus is not deemed to be a “consumer” as defined in the applicable laws and regulations. 

In order to purchase from JE Online Shop, you shall register and set up a customer account via the JE Online Shop. You agree that shall JE discover any fraudulent or inappropriate act in relation to the use of the account, JE reserves the right to delete it at any time and without prior notice to you. 

Article 3 Order quantity 

The order quantity of certain products is limited to 50 units per order. For additional quantities, you are required to contact Johnson Electric Group via the Enquiry form located at https://www.johnsonelectric.com/en/about-us/contact-us/online-inquiry-form. 

Due to availability or other reasons, JE may reject any order, or any part of an order at its sole discretion. 

Article 4 Pricing, Payment method and Conclusion of contract 

The price of the product displayed on JE Online Shop excludes any customs, duties, taxes, shipping fees and handling fees.  

With regards to pricing, JE reserves the right to change prices for products displayed on JE Online Shop at any time, and to correct pricing errors that may inadvertently occur.  

Before finalizing the order, you may verify the price in the order review on JE Online Shop. Please note the delivery and dispatch costs together with taxes, customs duties and other charges and levies are determined by the nature of the delivery and the address for delivery and shall be settled by the customer. 

Payment of your order on JE Online Shop shall be limited to the payment methods specified by JE Online Shop. If payment is made by credit card, you will be subject to the terms and conditions separately contracted with the credit card company. All credit card information will be stored on the settlement agency’s server. JE will not save any data regarding your credit card information. 

The purchase contract is concluded once you have completed the payment process. 

Article 5 Shipment, Delivery & Force majeure 

Please refer to the Shipping & Delivery policy regarding the timelines and shipping process for the products you purchased from JE Online Shop. Since the actual delivery of your order can be impacted by various events beyond JE’s control once it leaves our manufactories, JE cannot be held liable for late deliveries. Delivery and/or shipment dates provided in connection with any order are estimates only and do not represent fixed or guaranteed delivery dates. Delivery processing will not begin until the required information and full payment are received by JE. 

Article 6 Cancellation of orders 

Cancellation of order is not allowed once the order has been confirmed by payment. Therefore, it is important that you carefully review and confirm the details of your order before finalizing the purchase. 

Article 7 Warranty, Return and Exchange 

For products purchased from JE Online Shop, we provide a warranty of 6 months for each product from date of shipment. 

Please note that JE’s warranty does not cover defects, damages or malfunctions not attributable to JE, including without limitation, alterations applications not approved by JE, misuse, abuse, accidents and alterations. For further details, please refer to JE Group Standard Terms of Sale. 

For returning or exchanging the products, please refer to the Return and Exchange policy separately posted on the Website. 

Article 8 Personal information 

JE handles personal information in accordance with the Privacy policy separately posted on the Website. 

Article 9 Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JE BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST SAVINGS, OR LOSS OF BUSINESS OPPORTUNITY) ARISING OUT OF OR RELATING TO ANY PRODUCT, EVEN IF JE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SUBJECT TO THE FOREGOING, IN NO EVENT SHALL THE LIABILITY OF JE RELATING IN ANY WAY TO ANY PRODUCT EXCEED THE PURCHASE PRICE FOR THE PRODUCT, WHETHER IN CONTRACT, TORT, WARRANTY OR OTHERWISE.  

Article 10 Indemnification 

You understand and agree that you are personally responsible for your use or inability to use the products purchased on JE Online Shop. You agree to indemnify, defend, and hold harmless JE and JE's joint venturers, business partners, licensors, affiliates, suppliers, employees, officers, directors, owners, representatives and agents from and against any and all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, special, consequential, punitive, exemplary, and indirect damages), and reasonable attorneys' fees, resulting from or arising out of your use, misuse, or inability to use the products, or any violation by you of these Terms. 

Article 11 Compliance with Export Control 

You agree to comply with all applicable export laws and regulations of the United Nations, the Hong Kong SAR, the United States of America, the United Kingdom, the European Union, and all other applicable jurisdictions (“Governmental Authority”).  Specifically, but without limitation, you agree that it will not resell or re-export JE products or technical data in any form without obtaining applicable export or re-export licenses from the respective Governmental Authority.   

You shall bear full liability and indemnify JE for all losses and damages arising from your violation of this provision. 

Article 12 Compliance with Anti-corruption, Anti-money laundering and Sanction compliance 

You acknowledge and agree that you have not received nor offered any illegal or improper bribe, kickback, payment, gift, or thing of value from or to any of JE’s employees or agents in connection with your contractual relationship.  

You agree to abide by and comply with all relevant anti-money laundering laws and regulations of the Governmental Authority. 

You represent and warrant not to be an entity sanctioned/listed by the Governmental Authority (or owned 50% or more, also in the aggregate, by an entity/individual listed by the Governmental Authority). Moreover, you represent and warrant to be fully compliant with all the applicable provisions on international restrictive measures currently in force. 

If you learn of any violation of the above restriction, you will use reasonable efforts to promptly notify JE of such violation. You shall bear full liability and indemnify JE for all losses and damages arising from your violation of this provision. 

Article 13 Applicable law and Jurisdiction 

The laws of the Special Administrative Region of Hong Kong shall apply to these Terms without regard to any conflict of law provision.
